bookmarks.html does not contain your bookmarks, that file is no longer used to store them.
Are you sure you are looking in the right folder, you are possible looking in the installation folder for Firefox rather than the profile folder. The following link gives details about the location of the profile folder - http://kb.mozillazine.org/Profile_folder_-_Firefox
If you can not find places.sqlite you may not have access to your old profile folder.

First you need to find your old profile folder (location where Firefox stores user data). Make sure that Windows is set to view hidden files, for details of how to do that see http://www.bleepingcomputer.com/tutorials/tutorial151.html
Now search the old hard drive for a file called places.sqlite, that file should exist in your old profile folder, along with files named key3.db, signons.sqlite, cookies.sqlite and quite a few others. You can then copy the relevant data files into your current profile folder. For details of how to find the current profile folder, and what files you can copy see https://support.mozilla.com/kb/Recovering+important+data+from+an+old+profile

On the old hard drive there is not a file called places.sqlite, instead under the Defaults folder is a Profile Folder with a fine named Bookmarks.html. I've tried to import that file into the new version of Firefox. Either it's not working or I can't find it.
